According to the complaint filed in this lawsuit, Bakkt made false and misleading statements to the market, and also Bakkt failed to maintain appropriate controls on its financials. Specifically, investors claim that the company committed errors in how it classified certain shares issued before Bakkt went public through a merger with VPC Impact Acquisition Holdings. The complaint further alleges that these errors would require the restatement of certain financial statements, and that Bakkt downplayed the true severity of its financial misstatements. The company then overplayed its efforts to remediate its financial controls.
